Managed AI Services Agreement
Version 2026-07-12 — a product of Excellgen, Inc. ("NextELN", "we").
Managed AI is an optional, paid add-on. If you don't enable it, it doesn't apply — you can always bring your own API keys (or use free keyword search) at no charge.
1. What it is
When you enable Managed AI, we provide the AI credentials on your behalf — Claude for chat, ask-your-data, and the lab assistant, and an embeddings provider for semantic search — so you don't have to obtain or manage your own keys.
2. Fees & billing
- Usage is metered per token across chat, assistant, and embeddings.
- You are charged monthly at the posted rate (shown in Admin → AI at the time you enable it), which reflects our provider cost plus a margin. The rate may change prospectively with notice.
- A monthly spend cap applies. You set/adjust it; when reached, Managed AI pauses for the rest of the month (you can raise the cap to resume). The cap protects you from surprise bills.
3. Payment method required
Managed AI activates only after you (a) accept this Agreement and (b) have a valid payment card on file. No AI usage is provided on credit before a card is added.
4. Non-payment
Invoices are due on receipt. If a charge fails, we retry and notify you. If the balance remains unpaid, Managed AI and workspace access are suspended until it is settled (like any metered cloud service). Your data is retained per our standard retention policy; access is restored automatically once payment succeeds.
5. Turning it off
You may disable Managed AI at any time in Admin → AI. You remain responsible for usage already incurred up to that point. After disabling, bring your own key (or use keyword search).
6. Fair use & availability
Managed AI depends on third-party providers (Anthropic, OpenAI/Voyage) and is offered as-is subject to their availability and terms. We may apply reasonable rate limits to protect the service.
